Terms of Service

These Terms of Service are a contract between you and BidDown LLC ("we," "us"), an Indiana company, doing business as Sell For Free. By creating an account or using Sell For Free, you agree to these terms.

What Sell For Free is

Sell For Free is a marketplace where sellers list collectibles and other items with a starting price, a Buy It Now price, or both — bidders can push a starting price up until the listing ends, or any buyer can purchase a Buy It Now listing outright. We facilitate the listing, bidding, and purchase mechanic. We are not a party to the underlying sale between buyer and seller, and don't guarantee any transaction will complete.

Accounts

You must provide accurate information and are responsible for activity on your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use Sell For Free.

Intellectual property

We own the platform itself, its design, code, and branding. Using Sell For Free gives you a limited, personal license to access and use it. It doesn't give you the right to copy, resell, scrape, reverse-engineer, or build a competing product from it. You keep ownership of the photos and descriptions you post (see "Your content" below).

Feedback

If you send us feedback or suggestions about Sell For Free, you're giving us permission to use that feedback however we want, without owing you anything or crediting you for it. Don't send us feedback you consider confidential.

Fees

Posting a listing and placing a bid are always free, on every plan. The Free plan is limited to 30 new listings per month and 4 photos per listing; Member to 300 new listings per month and 8 photos per listing; Pro to 3,000 new listings per month and 12 photos per listing. We don't charge a percentage or final-value fee on any sale.

Membership subscriptions

Membership is billed through Stripe, monthly or yearly depending on the option you choose, and renews automatically each billing period at the then-current price (or your Founder price, below) until cancelled. You can cancel anytime from your profile page; cancellation takes effect at the end of the current billing period, you keep your benefits until then, and we don't provide partial-period refunds except where required by law.

Founder pricing

The first 200 paid subscribers on each paid plan (Member and Pro counted separately) become Founders on that plan. A Founder receives a numbered Founder badge and keeps the price they first paid for that plan and billing period (monthly or yearly), even if the plan's price later increases, for as long as their subscription to that plan continues without ending. If the subscription ends for any reason (including cancellation, once the paid period runs out, or non-payment), Founder status on that plan, including the badge and the locked price, ends permanently; the spot is retired, not reopened, and resubscribing is charged the then-current price. The locked price covers that plan and billing period only. Founder status is personal and can't be transferred, and it may be removed if your account is terminated for violating these terms. Taxes and payment processing terms are unaffected.

Conduct

You agree not to post fraudulent listings or bids, misrepresent an item, infringe anyone else's intellectual property, scrape or misuse the platform, circumvent listing limits, or use Sell For Free for any unlawful purpose. Counterfeit or unauthorized items are not allowed, including fakes and reproductions sold as genuine and artwork or merchandise that uses someone else's characters, logos, or trademarks without permission (for example, unlicensed fan art). We may suspend or terminate accounts that violate these terms.

Your content

You keep ownership of the photos and descriptions you post, but you grant us a license to host, display, reproduce, and resize/format that content as needed to operate the platform (for example, showing your listing photos). You're responsible for making sure you have the rights to what you post.

Transactions between users

We facilitate the listing, bidding, and Buy It Now mechanic only. We're not a party to the underlying sale, never take possession of the item or of any funds beyond membership purchases, and don't process payment for the item itself or arrange shipping. Once an auction ends or a Buy It Now purchase completes, payment and — for shippable items — delivery happen directly between buyer and seller, on whatever terms the listing stated (shipped, or pickup only). Use good judgment; we're not responsible for the condition, authenticity, or delivery of items exchanged between users, or for either side following through on a deal.

Order deadlines and strikes

Every sale creates an order on the listing page. The buyer must pay within 48 hours of the sale; the seller confirms payment on the order once it arrives. For shipped items, the seller must then ship within 48 hours and may add tracking. The buyer confirms receipt, or the order completes automatically 14 days after shipping. If the buyer misses the payment deadline, the seller may cancel the sale; if the seller misses the shipping deadline, the buyer may cancel the order. Either cancellation adds a strike to the account that missed the deadline, and an account with three strikes is suspended from bidding, buying, and listing. Because payment happens directly between users, cancelling an order does not refund a payment — any refund is between buyer and seller. To appeal a strike or suspension, open a support request and choose the appeal option, or contact us below.

Ratings and order records

After an order completes, the buyer and the seller may each leave one rating (positive, neutral, or negative) and an optional comment about the other, for 30 days. Ratings are public and final: you can't edit or delete one once it's submitted. Keep feedback honest and about the transaction. Don't use it to harass, threaten, or pressure anyone (for example, by demanding a refund or discount in exchange for a rating), and don't include personal information. We may remove feedback that breaks these rules. Messages about an order can't be edited or deleted by either party once they're sent, and either party can download a record of the order and its messages. Shipping checklist answers a seller records are the seller's own statements; we don't verify them. We may keep and use these records to investigate reports, enforce these Terms, and respond to disputes or legal requests.

Disputes between users

We don't currently offer an in-platform tool to report a listing or another user. If you run into fraud, abuse, or a listing that violates these terms, contact us below and we'll review it. We may take action at our discretion, including removing a listing or suspending an account, but we don't guarantee a particular outcome or act as a neutral arbiter of disputes between users.

Copyright

If you believe content on Sell For Free infringes your copyright, contact shiloh@biddown.app with a description of the work, the infringing material's location, and your contact information, and we'll investigate. We remove listings that infringe on valid notice, and we terminate the accounts of sellers who repeatedly infringe. Signed-in members can also use the "Report this listing" link on any listing.

Termination

We may suspend or terminate your account for violating these terms. If your account is terminated for cause, open listings or bids may be cancelled; you remain responsible for any amounts owed to us as of termination.

Disclaimers and limitation of liability

Sell For Free is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability to you for any claim arising from your use of the platform is limited to the greater of $100 or the amount you paid us in the 12 months before the claim, and we're not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify and hold BidDown LLC harmless from any claim or dispute arising from your use of the platform, your content, your transactions with other users, or your violation of these terms.

Governing law

These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. For anything not covered by the arbitration agreement below, you and we consent to the exclusive jurisdiction of the state and federal courts in Huntington County, Indiana.

Dispute resolution and arbitration

Before filing a claim, you agree to try to resolve the dispute informally first, by contacting shiloh@biddown.app or writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750. Give it 60 days. Any dispute that isn't resolved informally will be decided through binding individual arbitration administered by JAMS (jamsadr.com), conducted in the county where you live, rather than in court, except that either side may bring an individual claim in small claims court or seek a court injunction to protect intellectual property. You and we each waive the right to a jury trial and to bring or join a class, representative, or collective action; claims can only be brought individually. Each side generally covers its own attorneys' fees unless the arbitrator finds a claim was frivolous.

Arbitration opt-out

You can opt out of the arbitration agreement above within 30 days of first agreeing to these terms by writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750, or shiloh@biddown.app, with your name, address, and a clear statement that you're opting out. Opting out doesn't affect the rest of these terms.

Accessibility

We aim for Sell For Free to be usable by everyone, including people with disabilities, and target WCAG 2.1 Level AA as a guide. If you run into an accessibility barrier, let us know at shiloh@biddown.app and we'll do our reasonable best to fix it.

California residents

You may report complaints to the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N. Market Blvd. Suite N112, Sacramento, CA 95834, or (800) 952-5210. BidDown LLC's address is 44 E Park Dr. Suite E, Huntington, IN 46750.

General

If any part of these terms is found unenforceable, the rest remains in effect. We're not responsible for delays or failures caused by events outside our reasonable control. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets. These terms are the entire agreement between you and us regarding your use of the platform.

Changes to these terms

We may update these terms as the product evolves. Continued use of Sell For Free after a change means you accept the updated terms.
